Terms of Service

These Terms of Service govern access to and use of ChatPeak websites, dashboards, APIs, automations, integrations, and related services. By using ChatPeak, you agree to these Terms.

1. Agreement

These Terms form a binding agreement between you and ChatPeak, Inc. If you use ChatPeak for a company, agency, brand, client, or other organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use ChatPeak.

2. The Service

ChatPeak provides tools for social DM automation, comments-to-DM workflows, keyword triggers, lead capture, contact management, conversations, broadcasts, analytics, webhooks, and third-party integrations.

Features may vary by plan, workspace, connected platform, region, and product availability. We may modify, suspend, or discontinue features as the product evolves.

3. Accounts and Workspaces

  • *You must provide accurate account, workspace, billing, and contact information.
  • *You are responsible for safeguarding credentials, sessions, connected accounts, API keys, integration secrets, and workspace access.
  • *You are responsible for all activity under your account and workspace, including activity by team members, clients, contractors, automations, and connected tools.
  • *You must promptly notify us at hello@chatpeak.app if you suspect unauthorized access.

4. Acceptable Use

  • *Do not use ChatPeak for unlawful, deceptive, abusive, harassing, discriminatory, or harmful activity.
  • *Do not send spam, unsolicited messages, misleading promotions, phishing attempts, malware, or content that violates platform rules.
  • *Do not collect, upload, or process sensitive information unless you have a lawful basis and all required permissions.
  • *Do not scrape platforms, bypass rate limits, evade security controls, interfere with the service, or reverse engineer non-public parts of ChatPeak.
  • *Do not use ChatPeak to violate the rights of others, including privacy, publicity, intellectual property, consumer protection, or data protection rights.

5. Social Platforms and Integrations

ChatPeak depends on third-party platforms and integrations that we do not control. Your use of Instagram, TikTok, Facebook, Stripe, Shopify, HubSpot, Zapier, Klaviyo, ActiveCampaign, and other connected services is subject to their own terms, policies, limits, permissions, APIs, and availability.

You are responsible for keeping connected accounts in good standing and for ensuring that your automations, messages, campaigns, and data collection comply with platform policies and applicable law.

6. Customer Content and Data

You retain ownership of content, contacts, messages, templates, automations, files, webhook payloads, and other data you submit to ChatPeak. You grant ChatPeak the rights needed to host, process, transmit, display, modify, and use that content solely to provide, secure, support, and improve the service.

You represent that you have all rights, permissions, notices, consents, and lawful bases needed for the data and content you submit or process through ChatPeak.

7. Privacy

Our Privacy Policy explains how we collect and use personal information. By using ChatPeak, you acknowledge that we process information as described in the Privacy Policy.

For customer contact, conversation, and campaign data, you are typically responsible for your own privacy notices, consent flows, opt-out handling, retention decisions, and data subject request handling.

8. Plans, Trials, Billing, and Taxes

  • *Paid plans, usage limits, included features, prices, billing periods, and overage rules are shown at signup, checkout, in-product, or in an order form.
  • *Unless stated otherwise, subscriptions renew automatically until canceled.
  • *You authorize ChatPeak and its payment processors to charge payment methods for fees, taxes, renewals, upgrades, overages, and other amounts due.
  • *Fees are non-refundable except where required by law or expressly stated in writing.
  • *You are responsible for applicable taxes, duties, and government charges other than taxes based on ChatPeak income.
  • *We may suspend or downgrade access for unpaid, overdue, disputed, or failed payments after reasonable notice where practical.

9. Cancellation and Termination

You may cancel a subscription according to the in-product cancellation flow or by contacting us. Cancellation stops future renewals but does not automatically refund past charges.

We may suspend or terminate access if you violate these Terms, create legal risk, misuse connected platforms, fail to pay, threaten service security, or use ChatPeak in a way that could harm users, third parties, platforms, or ChatPeak.

10. Confidentiality

Non-public product, technical, pricing, security, roadmap, business, or customer information disclosed by one party to the other must be protected with reasonable care and used only for the purpose for which it was disclosed.

11. Intellectual Property

ChatPeak and its software, designs, trademarks, logos, documentation, APIs, and product materials are owned by ChatPeak or its licensors. These Terms do not transfer ownership of ChatPeak intellectual property to you.

Feedback may be used by ChatPeak without restriction or compensation.

12. Beta Features

Beta, preview, experimental, or free features may be changed, limited, disabled, or discontinued at any time and may be provided with reduced support or reliability commitments.

13. Disclaimers

ChatPeak is provided as is and as available. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do not guarantee that automations will increase revenue, followers, leads, conversion, deliverability, account standing, or platform performance.

14. Limitation of Liability

To the fullest extent permitted by law, ChatPeak will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost profit damages, or for lost data, lost revenue, lost goodwill, platform enforcement, or business interruption.

To the fullest extent permitted by law, ChatPeak total liability for all claims relating to the service will not exceed the amounts you paid to ChatPeak for the service in the three months before the event giving rise to the claim.

15. Indemnity

You will defend, indemnify, and hold harmless ChatPeak from claims, damages, liabilities, costs, and expenses arising from your content, data, automations, campaigns, connected accounts, violation of law, platform policy violations, or breach of these Terms.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new last updated date. Material changes may also be communicated by email, in-product notice, or another reasonable method. Continued use after changes become effective means you accept the updated Terms.
